Horizon operates as a non-custodial financial infrastructure and compliance orchestration platform. By accessing or using our Services, you agree to be bound by these Terms and all policies referenced herein.

If you do not agree, you may not use our Services.

1. Acceptance of Terms

By accessing or using any part of the Services, you agree to be bound by these Terms.

If you are entering into this agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity.

2. Services Description

Horizon provides a non-custodial financial infrastructure platform designed to facilitate compliant transaction orchestration for business clients.

Our Services include:

• Compliance and validation workflows (including KYB, sanctions screening, and risk checks)
• Transaction orchestration between regulated financial institutions and service providers
• Integration with banking partners, digital asset execution providers, and custody providers

Important Clarification:

• Horizon does NOT custody fiat or digital assets
• Horizon does NOT act as a bank, exchange, broker, or OTC desk
• Horizon does NOT execute trades or hold client funds

All financial transactions are executed and settled through independent regulated third-party providers.

3. Account Registration and Security

a. You may be required to register for an account to access certain Services.

b. You agree to provide accurate and complete information.

c. You are responsible for safeguarding your account credentials.

d. You are responsible for all activities conducted under your account.

4. Intellectual Property

a. Horizon IP: All intellectual property related to the platform remains the property of Horizon or its licensors.

b. Client Data: You retain ownership of all data you provide.

c. Platform Use: You are granted a limited, non-exclusive, non-transferable license to use the Services.

5. Confidentiality

Both parties agree to protect confidential information and use it solely for purposes related to the Services.

6. User Conduct

You agree not to:

• Use the Services for unlawful or prohibited activities
• Circumvent compliance, sanctions, or regulatory controls
• Submit false or misleading information
• Attempt unauthorized access to systems

7. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind.

Horizon does not guarantee uninterrupted or error-free operation.

8. Limitation of Liability

To the maximum extent permitted by law:

• Horizon shall not be liable for indirect, incidental, or consequential damages
• Horizon shall not be liable for losses arising from actions of third-party providers
• Horizon shall not be responsible for execution, settlement, or custody of transactions

9. Indemnification

You agree to indemnify and hold harmless Horizon from any claims arising from:

• Your use of the Services
• Your violation of these Terms
• Your failure to comply with applicable laws

10. Termination

Horizon may suspend or terminate access at any time, including for:

• Compliance concerns
• Regulatory requirements
• Risk management decisions

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

12. Changes to Terms

Horizon may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.
